1. Acceptance of These Terms

These Terms & Conditions ("Terms") govern your access to and use of the IRL humans website, platform, mobile applications, and related services (collectively, the "Services").

By creating an account, using the Services, purchasing a reservation, participating in an event or experience, or otherwise accessing IRL humans, you agree to these Terms.

If you do not agree to these Terms, you must not use the Services.

2. Who We Are

IRL humans is an event management, social experiences, and community platform operated by 1001105082 ONTARIO INC. ("IRL humans", "we", "us", or "our").

We help members discover, reserve, organize, and participate in curated in-person events, experiences, and social activities.

IRL humans provides tools and services that help coordinate events, facilitate participant connections, and manage event logistics.

Depending on the event, IRL humans may organize, manage, coordinate, or facilitate certain aspects of an event, including invitations, reservations, communications, scheduling, and logistics.

Unless explicitly stated otherwise, IRL humans does not own, supervise, or operate third-party venues, restaurants, transportation services, activity providers, or other third-party establishments.

3. Eligibility

You must be at least eighteen (18) years old to create an account, reserve a spot, or participate in an event or experience.

By using the Services, you represent and warrant that:

You are at least 18 years old.
The information you provide is accurate, truthful, and complete.
You are legally capable of entering into this agreement.

We may request age verification at any time.

4. Accounts

You are responsible for your account and all activity that occurs under it.

You agree to:

Provide accurate information.
Keep your information up to date.
Protect your login credentials.
Notify us of any unauthorized access.

You may not:

Share, sell, or transfer your account.
Create multiple accounts to bypass restrictions.
Impersonate another person.
Use the Services fraudulently or unlawfully.

5. Invitations, Reservations, and Payments

Events and experiences offered through IRL humans may be invitation-only.

Receiving an invitation does not guarantee participation until any required reservation or payment process has been completed.

Reservation fees, if applicable, will be disclosed before payment.

Unless explicitly stated otherwise, reservation fees only reserve your participation and do not include:

Food or beverages
Parking
Transportation
Gratuities
Goods, products, equipment, or services
Personal purchases or expenses

You are solely responsible for all costs incurred before, during, or after participating in an event or experience.

IRL humans is not responsible for paying, reimbursing, or otherwise covering expenses incurred by participants unless explicitly stated otherwise.

We reserve the right to:

Change event dates, times, locations, or venues
Modify participant groupings
Adjust attendance limits
Revoke invitations
Cancel events or experiences

6. Cancellations and Refunds

Refund eligibility, if applicable, will be communicated before completing a reservation, purchase, or registration.

Unless otherwise stated, fees paid to IRL humans are final.

IRL humans may, at its sole discretion, issue a full or partial refund on a case-by-case basis. The issuance of a refund in one instance does not guarantee or create an entitlement to refunds in future instances.

If IRL humans cancels an event or experience, we may issue a refund, credit, or alternative accommodation at our discretion.

Expenses paid to third parties, including but not limited to food, beverages, transportation, parking, gratuities, goods, products, equipment, or services, remain your sole responsibility and are not refundable by IRL humans.

7. Code of Conduct

We strive to create safe, respectful, and inclusive experiences.

You agree to:

Treat participants, venues, and staff respectfully.
Follow all applicable laws.
Respect the privacy, boundaries, and safety of others.

You may not:

Harass, threaten, intimidate, discriminate against, or abuse others.
Engage in unwanted advances or inappropriate behaviour.
Share another person's private information without consent.
Create unsafe, disruptive, hostile, or harmful environments.
Use the Services for illegal, fraudulent, or malicious purposes.

We reserve the right to remove participants from events or experiences immediately for safety reasons.

Violations of this section may result in warnings, removal from events, suspension of access, account restrictions, or permanent account termination at our sole discretion.

8. Assumption of Risk

IRL humans coordinates and manages events and experiences but does not supervise participants before, during, or after an event.

By participating in an event or experience, you voluntarily assume all risks associated with in-person activities, including but not limited to:

Meeting and interacting with other participants
Visiting third-party venues and establishments
Participating in physical, recreational, educational, or social activities
Traveling to and from events
Personal injury, illness, theft, property damage, or disputes with attendees

You are responsible for exercising your own judgment and taking reasonable precautions.

If you ever feel unsafe, immediately leave the event and contact local emergency services if appropriate.

9. No Guarantees

IRL humans may use participant information, preferences, interests, location data, and other factors to help organize events, create participant groupings, and improve overall experiences.

While we strive to create thoughtful and enjoyable experiences, we cannot guarantee compatibility between participants, successful matches, or any specific outcomes.

IRL humans does not guarantee:

Compatibility between participants
Friendships, relationships, or personal connections
Networking opportunities
Attendance levels
Event quality
Successful participant matches
Any specific experience or outcome

Any algorithms, recommendations, or participant groupings provided by IRL humans are intended to enhance the experience but do not guarantee compatibility, enjoyment, safety, or the success of any event or interaction.

Individual experiences will vary.

10. Communications and Notification Preferences

By creating an account, you consent to receive communications necessary to operate the Services.

These communications may include:

Event invitations
Reservation confirmations
Event reminders
Venue updates
Account notifications
Security alerts
Password reset emails
Service announcements

You may manage your communication preferences at any time through Notification Preferences within your account settings.

You may also pause your account to stop receiving event invitations and other non-essential communications.

Even if you opt out of certain communications, we may still send transactional, legal, security, and account-related messages necessary to operate the Services.

11. Termination and Account Removal

We may suspend, restrict, or permanently terminate your account if:

You violate these Terms
You engage in unsafe, harmful, or inappropriate behaviour
We reasonably believe your participation may negatively impact others or the platform

We may revoke future invitations without prior notice.

You may request account deletion at any time.

Account deletion and data handling are governed by our Privacy Policy.

12. Limitation of Liability

To the fullest extent permitted by applicable law, IRL humans and its owners, employees, contractors, affiliates, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Services.

Our total liability for any claim relating to the Services shall not exceed the lesser of:

(a) the amount you paid to IRL humans during the preceding six (6) months; or

(b) CAD $100.

Nothing in these Terms limits liability that cannot legally be excluded.

13. Dispute Resolution

If a dispute arises, both parties agree to first attempt to resolve the matter informally for thirty (30) days.

These Terms are governed by the laws of Ontario and the applicable laws of Canada.

Nothing in these Terms limits rights that cannot legally be waived under applicable consumer protection laws.

14. Privacy

Your use of the Services is also governed by our Privacy Policy.

15. Changes to These Terms

We may update these Terms at any time.

Updated Terms become effective when posted on our website or platform.

Your continued use of the Services after updates are posted constitutes acceptance of the revised Terms.
